INTRODUCTION: The Services (defined hereinafter) of ‘Clue Dial’ is provided by Clue Dial.

• Clue Dial carries on the business of providing information about Vendors (defined hereinafter) of various products and services (“Information”) in selected towns and cities in India (“Service”) to end users.
• Clue Dial Provides Users (defined below) with its search service with information and user reviews for Clue Dial database of local business, products and services across India.
• Clue Dial search service is available to users through multiple platform viz. Internet, mobile internet, telephone (voice, text & SMS).
• Clue Dial is merely a medium which connects general public with vendor’s goods and services (“Vendors”) listed on Clue Dial however at the same time it does not intend to guarantee any business to such Vendors.
• Vendors are hereinafter referred to as (“Advertiser”). Clue Dial’s objective is to provide a quicker guide for up-to-date Information in a user friendly manner and via a medium that the end user is comfortable with.
• The end users of the Service are persons who may want to purchase goods / avail services and are seeking information about the Vendors of such goods and services (“Users”).
• Advertisers may be business houses, small medium enterprises, corporate entities, semi-corporate entities, establishments or individuals, who subscribe to the Service in order to list their company or business.
• Clue Dial will provide only the Information about the Advertiser to the Users in the manner provided for in these Terms.
• Advertiser agrees and acknowledges that Clue Dial does not guarantee any business to the Advertiser and is merely a medium through which information is made available to the general public.

 Advertiser hereby represents, warrant and agree that information submitted to CLUEDIAL for display on the web site will not:
 

• Contain fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items or items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illegal activities.

• Be part of a scheme to defraud other User(s) of the web site or for any other unlawful purpose.

• Relate to sale of products or services that infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity or privacy, or any other Third Party Rights.

• Violate any applicable law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising).

• Be defamatory, libelous, unlawfully threatening or unlawfully harassing.

• Be obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors.

• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

• Contain any material that constitutes unauthorized advertising or harassment (including but not limited to spamming), invades anyone's privacy or encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any law or regulation.

• Solicit business from any User(s) in connection with a commercial activity that competes with CLUEDIAL.

• Contain any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information.

• Link directly or indirectly to or include descriptions of goods or services that are prohibited under the prevailing law; or otherwise create any liability for CLUEDIAL or its affiliates..

CLUEDIAL reserves the right in its sole discretion to remove any material/content/photos/offers displayed on the web site which it reasonably believes is unlawful, could subject CLUEDIAL to liability, violates the terms and conditions and/or Agreement or is otherwise found inappropriate in CLUEDIAL's opinion.

Web site reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrong doing.

INFORMATION DISSEMINATION:
Clue dial currently disseminates Information to the Users through different platforms, viz., telephone, internet, WAP (Wireless Access Protocol) and Wireless (SMS short code) SMS and WhatsApp. Clue dial may, at its discretion cease providing Information over any of the above platforms or provide Information over other platforms or modify the manner in which Information is provided over any of the existing platforms, as it may deem fit, from time to time.

LISTING FEES
The Advertiser agrees to pay a non-refundable Listing Fee for the Services, which will be determined by Clue Dial at the time of listing business, shall be paid by the Advertiser in advance. For the listing of business one year or more than one year depending upon the amount of Listing fee paid.

REGISTERED ADVERTISER / USER(S)

Advertiser / User(s) can become a Registered Advertiser / User(s) by filling an on-line registration form on the web site by giving desired information (name, contact information, details of its business, etc.). CLUE DIAL will establish an account ("Account") for the user(s) upon registration and assign a user alias ("User ID") and password ("Password") for log-in access to your Account.

There are a proper procedure which is for the convenience of Advertisers / user(s) so that they can easily log-in and log-out.

 Verified Listing Package:

Clue Dial will display the “Verified” logo in Advertiser’s business listing.  This Logo is for to only paid listing. Some other features are comes under paid category and will be available to Advertiser after payment for those services.

Free Listing Package: Under this Advertiser will get only a limited feature during listing of their Business.

ISSUANCE OF INVOICE:

On receipt of the Service Fee and activation of the Listing thereafter, Clue Dial will issue an invoice to the Advertiser.

Invoice is valid subject to realization of payment.

INDEMNIFICATION:

Advertiser shall indemnify and hold harmless Clue Dial, its affiliates, directors, officers, agents and employees from loss, or damage including attorney’s fee, arising from any claim asserted by any third party including any User due to or arising out of any action or inaction of Advertiser, its employees or agents, including but not limited to, intellectual property claims, any claims pertaining to incorrect or false information about the Advertiser that was provided to Clue Dial and any claims including but not limited to the quality or usefulness of the products or services of the Advertiser.

ADVERTISER OBLIGATIONS:

Advertiser represents and warrants that (i) it is a bona fide business organization carrying on business in relation to the items disclosed to Clue Dial; (ii) it has the rights to use the trademarks; (iii) the business carried on by Advertiser does not violate or infringe upon any law or regulation and all registrations, authorizations and /permission necessary approvals required for carrying on business have been procured by it; and (iv) all information provided about itself (Advertiser) to Clue Dial, is and shall at all times be accurate, valid and complete; (v) it would be solely responsible and liable for the information provided (including but not limited to the content or details pertaining to any intellectual property provided by the Advertiser to Clue Dial) to Clue Dial.

ADDITIONAL DISCLAIMER:

1. Advertiser confirms that it will be solely responsible and liable for all matters between User and the Advertiser, including but not limited to transactions entered into between such User and the Advertiser. Further, it is hereby declared that Clue Dial does not verify the identity of the User of the Service and that the information provided to Advertisers is the information received from the User and will not be independently verified by Clue Dial.

1. In the event of receipt of multiple complaints from the Users regarding the Advertiser or Advertiser’s product/service, Clue Dial reserves the right to discontinue the provision of Service to the Advertiser or take any other action as deemed appropriate. Clue Dial may also forfeit the amount lying to the credit of such Advertiser and terminate the Business Listing of such Advertiser at its sole discretion.

 Advertiser also agrees that at no time shall Clue Dial vouch for or guarantee the performance of services or delivery of products by the Advertiser and Clue Dial will not be liable for any non-payment of amounts due to the Advertiser by any User.

MODIFICATIONS TO TERMS OF SERVICE:
Clue Dial reserves the right to change the terms of the Contract or the Terms of Service at any time without any prior notice to the Advertiser. Changes to the terms of the Contract or the Terms of Service shall come into effect upon from the time it is put up on the Website or by any other mode of communication as may be determined by Clue Dial.
